1. Scope & Definitions

• “Canadian Lifestyle” refers to Infinity Peak Venture Inc., its affiliated brands, and authorized representatives.
• “Client” / “Partner” refers to any business, distributor, wholesaler, or authorized entity entering into a B2B agreement with Canadian Lifestyle.
• Our services and website are intended exclusively for business-to-business (B2B) purposes and not for direct consumer sales.

2. Acceptance of Terms

By placing an order, creating an account, or engaging in any business activity with us, you confirm that:

• You have read and agreed to these Terms of Service and our Privacy Policy.
• You are authorized to act on behalf of your company or organization.
• You will comply with all applicable laws, import/export regulations, and trade compliance requirements in your jurisdiction.

3. Orders, Pricing & B2B Sales

3.1. Placing Orders

• All purchase orders must be submitted through our official channels: website, corporate email, or authorized representatives.
• Prices, availability, and lead times may vary depending on the region, volume, and contract terms.
• A proforma invoice will be issued for confirmation prior to finalizing the order.

3.2. Payment Terms

• Payments must be made in accordance with the official invoice and via secure banking methods only.
• For international transactions, payments are accepted via SWIFT / Wire Transfer.
• Canadian Lifestyle is not responsible for any local banking fees, intermediary bank charges, or cross-border taxes.

3.3. Taxes & Duties

• All prices are quoted exclusive of local taxes, import duties, and customs clearance fees, unless explicitly stated otherwise.
• Any applicable taxes or customs charges in the client’s country remain the sole responsibility of the client, unless a written agreement states otherwise.

4. Shipping, Delivery & Logistics

• Canadian Lifestyle coordinates shipments based on the terms agreed in the sales contract.
• Shipping methods, insurance, and customs clearance responsibilities are determined according to Incoterms 2020 and must be clearly stated in the purchase agreement.
• Delivery timelines are estimates only and may be affected by factors outside our control, including logistics delays, customs clearance, or force majeure events.
• The client is responsible for inspecting the shipment upon delivery and notifying the shipping provider directly of any damage caused during transit.

5. Product Quality & Compliance

• All Canadian Lifestyle products are manufactured in accordance with Health Canada regulations, international safety standards, and strict quality control procedures.
• Our formulations are tested for safety, performance, and efficacy in certified Canadian laboratories.
• Certificates of Analysis (COA), Material Safety Data Sheets (MSDS), and other compliance documents can be provided upon request for B2B partners.

6. Intellectual Property Rights

• All intellectual property, including trademarks, logos, packaging designs, formulas, product names, and website content, is the exclusive property of Canadian Lifestyle and Infinity Peak Venture Inc.
• Unauthorized reproduction, modification, resale, or distribution of any intellectual property is strictly prohibited.
• The use of our brand name, logo, product images, or marketing materials requires prior written authorization through a licensing or distribution agreement.

7. Limitation of Liability

• Canadian Lifestyle shall not be held responsible for:
• Improper handling, storage, or use of products by third parties
• Non-compliance with local import/export regulations in the client’s jurisdiction
• Losses arising from indirect, incidental, or consequential damages
• Our total liability for any claims arising out of business relationships is limited strictly to the value of the order in question, unless otherwise agreed upon in a formal written contract.

8. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada, unless otherwise agreed upon in a separate contract for international arbitration.

9. Amendments to the Terms

Canadian Lifestyle reserves the right to update or modify these Terms of Service at any time without prior notice.
The “Last Updated” date at the top of this document reflects the most recent changes.
